Terms of Service

The rules for using Medical Horus, including the medical nature of the platform, your responsibilities as an account holder, and how liability is limited.

1. Acceptance of These Terms

By creating an account or otherwise using the Medical Horus platform (the "Platform"), operated by Nilex Digital Systems ("we", "us", "our"), you agree to these Terms of Service ("Terms"), our Privacy Policy and, where applicable, our Cookie Policy. If you do not agree, do not use the Platform.

2. Eligibility and Accounts

You must be at least 18 years old to register a patient account in your own name. If you are a parent or legal guardian and wish to manage the care of someone under 18, you must hold your own account and add that person as a "family member" (dependent) — see Section 7. Doctor, clinic-staff and administrator accounts are provisioned according to each clinic's own arrangements with us.

You are responsible for: providing accurate information when you register and keeping it up to date; keeping your password confidential and your account secure; and all activity that occurs under your account. Tell us immediately if you believe your account has been accessed without authorization.

3. Acceptable Use

You agree not to: impersonate another person; provide false medical or identity information; attempt to access records or accounts you are not authorised to access; interfere with or disrupt the Platform's operation or security; use the Platform to harass, defame, or harm another user; or use the Platform for any unlawful purpose.

4. The Medical Nature of the Service — Important Safety Notice

Medical Horus is a clinic management platform. It helps patients, doctors and clinics schedule appointments, record clinical information, and communicate — it does not itself provide medical care, and nothing on the Platform, including any content generated by the optional AI assistant, is a substitute for the professional judgment of a qualified doctor.

Medical Horus is not for medical emergencies. If you believe you are experiencing a medical emergency, do not rely on the Platform. Call your local emergency services immediately — in Egypt, dial 123 for ambulance services — or go to the nearest emergency department.

5. Doctor and Clinic Responsibilities vs. Platform Responsibilities

Doctors, clinic staff and clinics using the Platform are solely responsible for the clinical care they provide, for holding any licences and registrations required by Egyptian law and by the relevant medical syndicates and health authorities, and for the accuracy of the professional information and content they post on the Platform.

Our responsibility, as the Platform provider, is to operate the software: to make reasonable efforts to keep the Platform available and secure, to store the data you and clinics enter in accordance with our Privacy Policy, and to provide the features described in our documentation. We are not a party to, and are not responsible for, the clinical relationship between a patient and a doctor or clinic.

6. Content Ownership

You retain ownership of the content you submit to the Platform (for example, your profile information, messages, and clinical notes you author). By submitting content, you grant us a licence to host, store, process and display it as necessary to provide the Platform's services to you and to the doctors and clinics you interact with. Articles and posts published by doctors and clinics remain their own intellectual property, subject to the same licence. The Medical Horus name, software, design and underlying technology are the intellectual property of Nilex Digital Systems and may not be copied or reused without our permission.

7. Family Members and Dependents

A patient account holder may add a family member (a dependent, such as a minor child or another person in their care) and manage that dependent's appointments, assessments and records. By adding a dependent, you confirm that you have the legal authority to act on that person's behalf, and you are responsible for the accuracy of the information you provide about them and for the consents you give on their behalf, including the health-data consent described in our Privacy Policy. You may remove a dependent from your account, or withdraw consents given on their behalf, at any time, subject to the recordkeeping obligations described in our Privacy Policy.

8. The Optional AI Assistant

The AI assistant is an optional feature, off by default, that provides general clinical and administrative guidance. It is not a doctor, does not diagnose, and its output must not be relied upon as medical advice. Using it requires you to give a separate, explicit consent, distinct from your acceptance of these Terms, because doing so may send your conversation content to a third-party AI provider (see our Privacy Policy). You may withdraw this consent, and stop using the assistant, at any time.

9. Subscriptions, Fees and Payment

Who pays: Patient accounts are free. Fees apply to clinics only, and each clinic has its own subscription in its owner's name.

Plans and prices: Plans and prices are those published on the Platform's pricing page at the time you subscribe, in Egyptian pounds. An account holder's first clinic is charged at the plan price; every additional clinic owned by the same person is charged at the published "additional clinic" price for the same plan, and the price that applies to each clinic is shown clearly before you confirm creating it. The agreed price is recorded on the clinic's subscription and does not change during a paid period. We will give you at least thirty (30) days' notice of any price change, which takes effect only from the renewal after that notice.

Free trial: An account holder's first clinic receives a seven (7) day free trial with every feature of the chosen plan, without asking for any payment method. The subscription never turns into a paid one and nothing is ever charged to you automatically; payment happens only when you decide to make it. Additional clinics do not include a trial.

Billing and payment: Subscriptions are paid in advance for each month or year, according to the billing cycle you choose. Invoices are issued electronically on the Platform and show the plan, the period, the amount and any taxes due by law. Payment is made by one of the methods shown on the subscription page, and a subscription is treated as paid once we confirm receipt of the amount.

Late payment: If an invoice is not paid on time, the clinic keeps working fully for three (3) grace days. After that the clinic becomes "read-only": you and your team can still view and export every record, but no new data can be added until payment is recorded. We never delete data because of non-payment; the retention periods in our Privacy Policy apply.

Plan limits: Each plan has published limits and features; among them, the Solo plan is for the clinic owner's own account only, without staff or other doctors. Monthly allowances (such as AI assistant questions, AI patient summaries and posts) renew on the first day of each calendar month and unused units do not carry over.

Changing plans: An upgrade takes effect immediately and the difference is charged pro rata for the rest of the current period. Moving to a lower plan turns the value of the unused days into a credit applied to your next invoices. You cannot move to a plan that does not allow the number of team members the clinic has until they are removed.

Cancellation and refunds: You can stop renewal at any time from the subscription page, and the subscription continues until the end of the paid period. We do not refund periods that have been used, unless the error is ours (such as a duplicate charge or an incorrect invoice), in which case we refund the amount within fourteen (14) business days of verifying it. Nothing in this section limits any right you have under Egypt's Consumer Protection Law No. 181 of 2018 where it applies.

10. Suspension and Termination

We may suspend or terminate your access to the Platform, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or created a risk to the security of the Platform or to other users. You may close your account at any time; closing your account does not necessarily result in immediate deletion of clinical records, for the reasons explained in our Privacy Policy.

11. Disclaimers and Limitation of Liability

The Platform is provided "as is" and "as available". To the maximum extent permitted by Egyptian law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the Platform will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by law, Nilex Digital Systems will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, or goodwill, arising out of or relating to your use of the Platform. Our total liability for any claim arising from these Terms or your use of the Platform will not exceed the amount, if any, you paid us directly for the Platform in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be limited under Egyptian law.

12. Governing Law

These Terms, and any dispute arising from them or from your use of the Platform, are governed by the laws of the Arab Republic of Egypt, in particular Law No. 151 of 2020 on the Protection of Personal Data where applicable, and are subject to the exclusive jurisdiction of the competent courts of the Arab Republic of Egypt.

13. Changes to These Terms

We may update these Terms from time to time. Where a change is material, we will ask you to re-confirm your acceptance before you can continue using the Platform. Continuing to use the Platform after being notified of a change constitutes acceptance of the updated Terms.
